No contract to signQuote, invoice and these terms

Last updated 10 August 2026

Draft for legal review. This is a working version describing how Valerian Media actually operates. Please have your legal team check it against the regulations that apply to you before publishing.

These terms cover work commissioned from Valerian Media and licences bought from us. There is no separate contract to sign: your quote, your invoice and these terms together form the agreement. Placing an order or paying an invoice means you accept them.

1. How ordering works

  1. You tell us what you need. We reply with a written scope stating exactly what is included, what is not, the timeline and a fixed price.
  2. If you are happy, we send an invoice by email. The invoice states the payment schedule for your order.
  3. You pay as set out on the invoice and confirm by email.
  4. We build. For app work you receive an installable build to review before the project is treated as complete.
  5. On completion and final payment, we hand over everything listed in section 4.

Quotes are valid for thirty days. Work outside the agreed scope is quoted separately before it is started — we never add a charge to an invoice without telling you first.

2. Payment

  • Products. Paid in full at purchase.
  • Project work. Paid either in full in advance or in stages, whichever your invoice states. Where payment is staged, each stage is invoiced before the work in it begins.
  • Retainers. Billed monthly in advance, cancellable with thirty days' notice.
  • All prices are in US dollars. Bank charges and currency conversion costs are yours.

3. Your responsibilities

Projects stall on content and access far more often than on code. You agree to supply content, credentials, brand assets and approvals within a reasonable time. Where a delay on your side pushes a project past its schedule, the timeline moves accordingly and we will tell you when that happens.

You are also responsible for having the accounts a launch requires — a Google Play developer account, an Apple Developer Program membership, a Roku developer account, hosting, and any payment gateway. We set them up and configure them, but they belong to you.

4. What you own

On final payment, ownership of the work we produced for you transfers to you: source code, designs, signing keystores, certificates, database and admin credentials. This is unconditional. We do not hold anything back as leverage.

Two things are not transferred, because they are not ours to give:

  • Third-party components. Open-source libraries stay under their own licences. Where a build starts from a commercial base product, that licence is bought for your project and passes to you under its vendor's terms — its cost is included in your quote, and you are told which product it is.
  • Our own products. Where one of our commercial plugins is installed as part of your build, you receive a licence to use it, not ownership of the plugin.

We keep the right to describe the work publicly and show it in our portfolio. Tell us if a project is confidential and we will not.

5. Product licences

Buying one of our products grants you a non-exclusive licence to use it on the number of sites stated on that product's page, including one year of updates and support. You may modify it for your own use. You may not resell it, redistribute it, or remove its licensing mechanism.

6. Support and warranty

Project builds include sixty days of bug fixing after launch at no charge. A bug is behaviour that differs from the agreed scope. New requirements discovered after launch are new work, quoted normally.

We do not warrant that software will be uninterrupted or error-free, because no honest developer can. We do warrant that we will fix faults in our own work within the support period.

7. Third-party services

Much of what we build depends on services we do not control — app stores, payment gateways, ad networks, streaming sources and APIs. We are not responsible when those services change their rules, their pricing or their availability. Where a change breaks something we built, we will tell you what it costs to adapt.

8. Content and rights

You are responsible for the legality of the content you publish through anything we build, including any broadcasting, streaming or distribution rights it requires. We build directory and streaming software; the rights to whatever you list through it are yours to hold and to prove.

9. Liability

Our total liability for any claim is limited to the amount you paid us for the work in question. We are not liable for indirect losses such as lost profits, lost data or business interruption. Nothing here limits liability that cannot lawfully be limited.

10. Ending a project

Either side may end a project in writing. You pay for work completed to that point and receive it, along with everything covered by section 4. We will not hold finished work against a balance for work not yet done.

11. Orders placed through a third-party platform

Where you commission us through a freelancing or escrow platform, that platform's own terms, fees and dispute process govern the order and take precedence over these terms. Everything in section 4 about ownership still applies.

12. Governing law

These terms are governed by the laws of Pakistan, and the courts of Punjab, Pakistan have jurisdiction. This does not remove any right you have under the consumer law of the country you live in.
